Terms and Condition
1. Services
MarkOps.AI ("we", "us", "our") provides consulting services to businesses, focusing on automation solutions to enhance business efficiency ("Services"). The scope and nature of the Services will be agreed upon prior to commencement.
2. Eligibility
Our Services are available to individuals who are at least 18 years old.
3. User Accounts and Security
If users are required to create an account to use our Services, they are responsible for maintaining the confidentiality of their account information and for all activities that occur under their account. They are also responsible for notifying us immediately if they suspect unauthorized use of their account.
4. Payment Terms
Consultation fees start at $300 CAD per hour or a contracted price agreed upon before the start of work. For hourly contracts, invoices are issued bi-weekly with a payment term of 10 days. For contracted work, payment terms are 50% upfront and 50% upon completion.
5. User Obligations
Users must provide necessary access to systems and business information or data to ensure the effectiveness of our automation solutions.
6. Intellectual Property Rights
Upon full payment, the ownership of the automation solution and the data used is transferred to the client.
7. Service Availability
Our Services may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications. We are not responsible for any delays, delivery failures, or other damage resulting from such problems.
8. Third-Party Links and Services
Our Services may contain links to third-party websites or services that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.
9. Privacy
Please refer to our Privacy Policy for information on how we collect, use, and protect your data.
10. Dispute Resolution
Any disputes will first be attempted to be resolved between us and the client. If a resolution cannot be reached, the dispute will be subject to Quebec law.
11. Limitation of Liability
We are not liable for any damages that may occur to the client's business or reputation. The client assumes all responsibilities.
12. Indemnification
Users agree to indemnify and hold us harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees), made against us by any third party due to, or arising out of, or in connection with their use of the website or any of the services offered on the website.
13. Termination
Termination of any work must be communicated in writing either via email or post, and must be received at least 30 days prior to the intended termination date.
14. Changes to the Terms
Quotes provided by us are valid for 15 days and may be modified thereafter. Any changes must be communicated in writing.
15. Severability and Waiver
If any provision of these Terms is held to be invalid or unenforceable, such provision will be struck and will not affect the validity and enforceability of the remaining provisions. Our failure to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
16. Force Majeure
We are not liable for any failure of performance due to unforeseen circumstances or causes beyond our reasonable control.
17. Entire Agreement
These Terms, together with any agreements or documents referred to herein, constitute the entire agreement between you and us and govern your use of our Services, superseding any prior agreements between you and us.
